FYGO END-USER LICENSE AGREEMENT

This End-User License Agreement ("EULA" or "Agreement") is a legal agreement between you (an individual or a single legal entity, hereinafter "you" or "User") and AXISSTORE TECHNOLOGY PTE. LTD. ("Fygo", "we", "us" or "our")
This EULA governs your use of (a) the FygoOS operating system software (the "System"), (b) any application embedded in or made available through the System (the "Applications"), and (c) any upgrades, updates, patches, hot-fixes, modules, routines, feature enhancements, additional versions, or supplements that replace or supplement the original software (collectively, "Updates"). The System, the Application, and the Updates are collectively referred to herein as the "Software".
If you are a legal entity, Fygo may enter into a separate EULA or other agreement with you, and the relationship between Fygo and you shall be governed by such separate agreement.
By downloading, installing, accessing, or using any part of the Software, you acknowledge that you have read, understood, and agreed to be bound by the terms of this EULA. If you do not agree to the terms of this EULA,please do not download, install, access or use the Software.
Free Version and Paid License Subscriptions. The general terms set forth in Sections 1 to 21 of this EULA apply to all Users, including Users of the free version of the Software. Section 22 (License Subscription Terms) applies only if and to the extent you have purchased a paid License Subscription from Fygo. The provisions of Section 22 supplement and do not replace the general terms of this EULA.
Jurisdiction-Specific Provisions. Certain provisions of this EULA apply only to Users located in specific jurisdictions, as expressly indicated in the relevant clauses. Where such a provision applies to you based on your jurisdiction, it shall prevail over any inconsistent general provision of this EULA to the extent of the inconsistency.
The Software is licensed to you, not sold. Each License Subscription is bound to the specific FygoOS installation on the NAS device on which it is first activated (identified by device serial number) and to the Fygo account that activated it. A License Subscription may not be transferred, resold, sublicensed, or reassigned to another device, account, or person, except as expressly permitted by Fygo in writing or as required by applicable law.
Subject to your continuing compliance with all of the terms and conditions of this EULA, Fygo grants you the following limited, non-exclusive, non-transferable, non-sublicensable, personal, non-commercial, revocable license to:
download, install, run, and use one copy of the Software on a device owned or controlled by you, in object code form only, solely for your use of the System; or
where you have purchased a paid License Subscription in accordance with the Section 22, install, run, and use the additional Software or Services in accordance with the scope of your License Subscription.
The rights granted herein are limited to Fygo's intellectual property rights in the Software and do not include any other intellectual property rights of any third party.
You may make and use a reasonable number of copies of the documentation accompanying the Software, provided that such copies are used only for internal purposes and are not republished or redistributed (whether in hard copy or electronic form) to any third party.
You may not copy the Software, but may copy individual software components for backup. The number of copies should be reasonable.
Software, or any Updates to the Software, that is provided by Fygo shall be governed by this EULA, unless separate license terms are provided with such Software or Updates, in which case those separate terms shall apply. Fygo may, in its sole discretion, modify the Software or remove or disable any feature or component of the Software ("Modification"), including but not limited to for purposes of security improvements, bug fixes, performance enhancements, or feature changes. You acknowledge and agree that such Modifications may alter or remove certain features upon which you may rely. Fygo may also require the installation or acceptance of any Modification as a condition of continued use of the Software. All Modifications shall be deemed an integral part of the Software under this EULA. By accepting this EULA, you consent to the implementation of such Modifications as determined by Fygo. This EULA, in and of itself, does not entitle you to any Updates to the Software at anytime in the future.After the update release, Fygo does not guarantee the continued availability of Software in older versions.
Except as expressly authorized by this EULA, you shall not, and shall not permit any third party to:
use the Software for any purpose other than that in connection with the Agreement;
license, distribute, lease, rent, lend, transfer, or otherwise dispose of the Software;
reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or trade secrets of the Software, except to the extent that applicable law expressly permits such activity notwithstanding this restriction;
adapt, modify, alter, translate, or create derivative works of the Software;
remove, alter, or obscure any copyright notice or other proprietary notice on or in the Software or related materials;
circumvent or attempt to circumvent any methods employed by Fygo to control access to the components, features or functions of the Software;
use the Software in violation of any applicable law, regulation, or rule;
use the Software for competitive analysis, for the development of any competing software product or service, or
Bundle the Software with other products or services not provided by Fygo or use the Software for any other purpose to the commercial detriment of Fygo.
The Software may include, but is not limited to, open-source components licensed to Fygo under licenses such as GPL, LGPL, or MIT.(collectively, “Open Source Components”) The terms of the applicable open source license shall control solely with the such Open Source Components to the extent that this EULA conflicts with the requirements of the applicable open source license with respect to your use of those Open Source Components, and in such case, you agree to be bound by the applicable open source license with respect to your use of such components. Open Source Components are provided without warranty of any kind, whether express, implied, or statutory, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Notwithstanding anything to the contrary in this EULA, with respect to all claims arising in connection with the Open Source Components, Fygo shall not be liable for any direct, indirect, incidental, punitive, special, or consequential damages arising out of the use of such Open Source Components, whether based on contract, strict liability, or tort (including negligence), even if Fygo has been advised of the possibility of such damages.
The Software is the valuable property of Fygo and is protected by copyright and other intellectual property laws and treaties. Fygo own all right, title, and interest in and to the Software, including but not limited to all copyrights and other intellectual property rights therein. Your possession of, access to, and use of the Software and any Updates does not transfer to you any right, title, or interest in or to such copyrights and other intellectual property rights.
The Software may include technical copy protection and other security features designed to prevent unauthorized use, including features that prevent any use of the Software prohibited by Section 5. You shall not remove, disable, circumvent or otherwise create or implement any workaround to such copy protection or security features. Fygo may, in its sole discretion, request such information as may be reasonably necessary to confirm your compliance with this EULA, including but without limit to authorized numbers of your license and other relevant data relating to your use of the Software. Failure to provide the requested information within the period specified by Fygo shall constitute a material breach of this EULA. In the event of any non-compliance discovered by Fygo pursuant to this Section 9, you shall pay Fygo retroactive fees for any over-use, obtain and pay for valid licenses to bring you into compliance with this EULA, and indemnify Fygo for any damages, losses, or costs incurred as a result of such non-compliance. Fygo reserves the right, in its sole discretion, to suspend or terminate your access to the Software without prior notice if such non-compliance is not fully remedied within the period specified by Fygo. Fygo's remedies set forth in this Section 8 are cumulative and are in addition to, and not in lieu of, all other remedies available.
The software and documentation are provided "as is" and with all faults and defects, without warranty of any kind. To the maximum extent permitted by applicable law, Fygo and its suppliers hereby disclaim all other warranties, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose or use, title, and non-infringement, and any warranties that May arise from course of dealing, course of performance, usage, or trade practice. Without limitation of the foregoing, fygo does not warrant that the software is free of bugs, errors, viruses, or other defects. Fygo does not warrant that the software's functions will meet your requirements, or that the operation of the software will be uninterrupted or error-free, or that errors or defects will be corrected.
You are responsible for taking appropriate measures to maintain adequate data security, data recovery, data backup, and disaster recovery plans. In no event shall Fygo be liable for any incidental, indirect, special, punitive, consequential, or similar damages or liabilities (including without limitation any loss of data, information, revenue, profits, or business) arising out of or relating to the use or inability to use the software, or otherwise in connection with this eula or the software, whether based on contract, tort (including negligence), strict liability, or any other theory, even if fygo has been advised of the possibility of such damages.
The total liability of Fygo and its suppliers, arising out of or relating to the use or inability to use the software, or otherwise in connection with this EULA or the software, whether based on contract, tort (including negligence), strict liability, or any other theory, shall be limited to the amount you actually paid for the software (if any).
NOTE:The foregoing disclaimers of warranties, disclaimers of certain damages, and limitations of liability shall apply to the maximum extent permitted by applicable law. The laws of some jurisdictions do not allow the exclusion of implied warranties or the exclusion or limitation of certain damages. If such laws apply to this EULA, the exclusions and limitations set forth above May not apply to you.
You, at your expense, shall defend and indemnify Fygo against any claim, action, or proceeding brought against Fygo which arises from or is in any manner connected with your unauthorized use of the Software or that arises from your breach of any provision of this EULA.
You acknowledge that the Software and the Product are subject to U.S. export restrictions, as well as the law of the country where they are delivered or used. You agree to comply with all applicable laws and regulations that apply to the Software and the Product, including without limitation the U.S. Export Administration Regulations. Under these laws, the Software and the Product may not be sold, leased, or transferred to embargoed countries, other restricted countries, restricted end-users, or for restricted end-uses. You agree that the Software and the Product will not be used for activities related to weapons of mass destruction, including but not limited to, activities related to the design, development, production, or use of nuclear materials, nuclear facilities, or nuclear weapons, missiles or support of missile projects, or chemical or biological weapons. You understand that certain functionality of the Software , such as encryption or authentication, may be subject to import or export restrictions in the event that you transfer the Software from the country of delivery and you are responsible for complying with applicable restrictions.
If the Software is acquired for or on behalf of the United States of America, its agencies and/or instrumentalities (“U.S. Government”), it is provided with restricted rights.
Each of the Documentation and the Software is a "commercial product" as that term is defined at 48 C.F.R. § 2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. § 12.212 and 48 C.F.R. § 227.7202. Accordingly, the Software and the documentation are licensed to U.S. Government end users (a) only as commercial products and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions of this EULA. Unpublished rights are reserved under the copyright laws of the United States.
You acknowledge and agree that Fygo may collect, use, and process information regarding your use of the Software, the equipment on which the Software is installed, and the equipment on which the Software is accessed and used. The categories of personal information collected, the purposes of collection and processing, the manner of cross-border transfer, your rights with respect to such information, and any jurisdiction-specific requirements (including those applicable to Users in California and Japan) are described in detail in the Fygo Privacy Policy.
The Software may include or interoperate with software development kits ("SDKs"), application programming interfaces ("APIs"), or services owned or operated by third parties. Such third-party components and services are made available to you subject to the terms and conditions of the applicable third party. Fygo does not own or control such third-party components and services and shall not be responsible or liable for the privacy practices, content, accuracy, completeness, or reliability of such third-party components and services. You should review the applicable third-party terms and privacy policies before using any such third-party components and services.
Without prejudice to any other rights, and without prior notice, Fygo may terminate this EULA if you fail to comply with any of the terms and conditions of this EULA or, where applicable to a paid License Subscription, if Fygo does not receive payment of any applicable fees. In addition, Fygo may, in its sole discretion, terminate the license to use the Software at any time where the Software is distributed without charge. In all such cases, all licenses granted hereunder shall automatically terminate, and you shall cease all use of the Software and destroy all copies of the Software and all of its component parts.
You may not transfer or assign your rights under this EULA to any third party. Any transfer or assignment in violation of the foregoing restriction shall be void.
Except as expressly prohibited by local law, this Agreement and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the People’s Republic of China (for the purposes of these Terms, excluding the laws of the Hong Kong Special Administrative Region, the Macau Special Administrative Region, and Taiwan), without regard to its conflict of law principles.
Any dispute, controversy, difference or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.The seat of the arbitration shall be Singapore.The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. The arbitral award is final and binding upon both parties.
The arbitration shall be confined to a Dispute between you and Fygo individually. Neither the arbitration nor any portion of it shall be consolidated with any other arbitration and shall not be conducted on a class-wide or class action basis. Without this provision, you would have had a right to litigate Disputes through a court, including the right to litigate claims on a class-wide or class action basis, and you expressly and intentionally waive these rights and agree to resolve any Dispute through binding arbitration in accordance with this Section 20. Nothing in this Section shall be deemed as preventing or limiting Fygo from seeking injunctive or other equitable relief from a court of competent jurisdiction in respect of any actual or threatened breach by you of any provision of this EULA relating to Fygo's intellectual property rights, or from seeking any other rights and remedies available at law or in equity.
In any arbitration, mediation, or other legal action or proceeding to enforce rights or remedies under this EULA, the prevailing party shall be entitled to recover, in addition to any other relief, costs and reasonable attorneys' fees.
If any provision of this EULA is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remainder of this EULA shall continue in full force and effect.
This EULA, together with the Annexes attached hereto and any applicable order documentation referenced in Section 22, constitutes the entire agreement between Fygo and you with respect to the Software and the subject matter hereof, and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Fygo reserves the right to modify any provision of this EULA in its sole discretion and will provide reasonable notice of any such modification. Modifications shall apply only from the date Fygo posts the revised terms or the effective date specified in the revised terms. Your continued use of the Software following any modification shall constitute your full and irrevocable acceptance of such changes.
This EULA is executed in the English language. The English language version of this EULA shall be the sole authoritative version. Where Fygo provides a translation of this EULA into any other language for convenience, the English language version shall prevail in the event of any conflict or inconsistency.
22.1 This Section 22 applies only if and to the extent you have purchased a paid License Subscription from Fygo. The provisions of this Section 22 supplement, and do not replace, the general terms of this EULA. In the event of any conflict between this Section 22 and the general terms of this EULA with respect to a paid License Subscription, this Section 22 shall prevail. The following outlines your additional rights after activating the relevant license on FygoOS.
License Subscriptions (including the Trial License, the Plus License, and the Lifetime License) are available for purchase exclusively through Fygo's official website (the "Official Website") or through other sales channels expressly authorized by Fygo in writing. Information regarding pricing, payment methods, applicable taxes, currency, billing cycles, and purchase procedures is set out on the Official Website and is not governed by this EULA. By completing a purchase, you agree to the pricing and payment terms displayed at the point of purchase, which form a separate commercial arrangement between you and Fygo. License Subscriptions obtained from unauthorized sources are void and confer no rights under this EULA.
Refunds, where available, are governed by the refund policy published on the Official Website (the "Refund Policy"), which is incorporated into this EULA by reference. Except as required by applicable mandatory consumer protection laws, no refunds will be provided outside the scope of the Refund Policy. Consumers in jurisdictions that grant statutory withdrawal or cancellation rights retain such rights as provided by applicable law.
Term: Thirty (30) days from the date the Trial License is activated on the FygoOS .
Eligibility: The Trial License is available once per NAS device and once per Fygo account. Fygo reserves the right to deny or revoke Trial License eligibility in cases of suspected abuse, including repeated account registration for the purpose of obtaining multiple Trial periods.
Capacity: The Trial version permits a maximum of three (3) user accounts and four (4) Storage Devices, being the same capacity limits as the Free Tier.
App Center: The full feature set of the App Center is available during the Trial Term. Applications installed from the App Center during the Trial Term will become unavailable upon expiration of the Trial Term.
Updates. Updates released during the Trial Term are included.
Expiration. Upon expiration of the Trial Term, the user may continue to use FygoOS, but the Services reverts to the Free version and is subject to the Free-Tier capacity limits.
Term: One (1) year from the date of license activation on the FygoOS.
Non-Renewal: The Plus License does not automatically renew. To continue receiving Plus-tier Services beyond the expiration of your current Plus License Term, you must manually purchase a new License Subscription through the Official Website.
Expiration Notice: Fygo will endeavor to notify you of the upcoming expiration of your Plus License Term through in-product notifications and/or the email address associated with your account at least thirty (30) days prior to expiration. It remains your responsibility to ensure your contact information is up to date.
Capacity: The Plus version permits an unlimited number of user accounts and an unlimited number of Storage Devices during the License Term.
App Center: The full feature set of the App Center is available during the Plus License Term. Applications installed from the App Center during the License Term will become unavailable upon expiration of the Licence Term.
Updates: Updates released during the License Term are included.
Expiration: Upon expiration of the License Term, the user may continue to use FygoOS, but the Services reverts to the Free version and is subject to the Free version capacity limits. Existing user data on the FygoOS is not affected by such expiration.
Term: Equal to the Lifetime of the applicable FygoOS product (the "Lifetime Term"). For the purposes of this EULA, "Lifetime" means the operational lifetime of the FygoOS product line on which the Lifetime License is activated, being the period during which Fygo continues to provide official support, maintenance, and security Updates for the applicable FygoOS version and associated NAS hardware model. "Lifetime" does not mean: (i) the natural life of the end user; (ii) an unlimited or perpetual period in an absolute sense; or (iii) a guarantee of availability beyond the product's End-of-Support Date.
Capacity: The Lifetime Tier permits an unlimited number of user accounts and an unlimited number of Storage Devices.
App Center: The full feature set of the App Center is available.
Updates: All Updates released by Fygo for FygoOS are included for the Lifetime of the product.
Expiration: The Lifetime License is not subject to a fixed expiration date, but will cease upon the End-of-Support Date as described in Section 22.2.
22.2 End-of-Support
Fygo will provide no less than twelve (12) months' prior notice of the end-of-support date (the "EoS Date") through the Official Website and/or in-product notifications. Upon the EoS Date, Fygo may cease to provide Updates, but you may continue to use the last version of FygoOS provided to you, subject to the terms of this EULA. The occurrence of the EoS Date shall not, by itself, entitle you to any refund of amounts paid for the Lifetime License.
22.3 Data Access Upon Expiration or Downgrade
Upon expiration of any Trial License or Plus License, or upon any downgrade to the Free Tier for any reason, your existing user data stored on the FygoOS and associated Storage Devices will remain accessible to you in read and export form, even where the volume of such data or the number of associated user accounts exceeds the Free-Tier capacity limits. However, you may be restricted from: (i) adding new user accounts beyond the Free-Tier limit; (ii) adding new Storage Devices beyond the Free-Tier limit; (iii) writing new data that would cause capacity to exceed the applicable limits; and (iv) using paid applications previously installed from the App Center. Full functionality can be restored by renewing or upgrading your License Subscription at any time.
